This University Guidance Counsellor Agreement (“Agreement”) is entered into by and between [Company/Platform Name] (the “Company”), and the individual guidance counsellor (“Counsellor”) who agrees to provide university guidance and counseling services through the Company’s platform or programs.
1. Engagement
The Company hereby engages the Counsellor to provide university guidance and counseling services to students (“Students”), and the Counsellor accepts this engagement under the terms and conditions set forth herein.
2. Scope of Services
- Counsellor agrees to provide professional university guidance services, including but not limited to college application assistance, essay review, interview preparation, career advice, and academic planning tailored to the needs of Students.
- Counsellor will prepare for sessions, deliver consultations, provide feedback, and assist Students in navigating university admission processes and related academic decisions.
3. Qualifications and Compliance
- Counsellor warrants that they possess the necessary qualifications, expertise, and experience to provide university guidance services.
- Counsellor agrees to maintain all necessary licenses or certifications required by applicable laws.
- Counsellor shall comply with all applicable laws, regulations, and Company policies, including those related to data privacy and non-discrimination.
4. Independent Contractor Status
- Counsellor is an independent contractor and not an employee of the Company.
- Counsellor is responsible for all taxes, insurance, and benefits arising from compensation received for services.
- Counsellor has no authority to bind or obligate the Company in any manner.
5. Scheduling and Conduct of Sessions
- Scheduling of guidance sessions shall be mutually agreed upon by Counsellor and Student.
- Counsellor shall provide services in a professional, timely, and ethical manner.
- Counsellor agrees to maintain confidentiality of all Student information consistent with applicable privacy laws.
6. Fees and Payment
- Counsellor sets their own hourly rates or fees for services provided to Students.
- The Company may charge a platform or subscription fee as described separately.
- Payment from Students shall be made directly to the Counsellor unless otherwise arranged.
- Counsellor is responsible for collecting fees and handling any refunds or disputes with Students.
7. Term and Termination
- This Agreement shall commence upon acceptance by the Counsellor and continue until terminated by either party.
- Either party may terminate this Agreement at any time with or without cause by providing written notice.
- The Company may terminate immediately if Counsellor breaches this Agreement, engages in misconduct, or fails to meet performance standards.
8. Intellectual Property
- Materials created by Counsellor during guidance sessions remain the property of the Counsellor unless otherwise agreed in writing.
- Counsellor grants the Company a non-exclusive license to use their name, profile information, and testimonials for promotional purposes.
9. Indemnification
Counsellor agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, or expenses arising out of Counsellor’s negligence, misconduct, or breach of this Agreement.
10. Limitation of Liability
The Company shall not be liable for any indirect, incidental, or consequential damages arising from the guidance services provided.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.
This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior understandings.
